These Terms of Use ("Terms") govern your access to and use of reprai.com and its subpages (the "Website"), operated by Reprai Inc. ("reprai", "we", "us" or "our"), a Delaware corporation located at 1401 Pennsylvania Ave, Unit 105, Wilmington, Delaware 19806, USA.

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website. If you use the Website on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf.

1. About the Website

The Website provides information about reprai, a pharma-native AI company, and its products and services. It also lets you request a meeting, contact us, subscribe to our newsletter, register for events and apply for jobs.

The Website is intended for business professionals. You must be at least 18 years old to use it.

2. Website only, not the reprai platform

These Terms apply only to the Website. Access to and use of the reprai platform and products (including reMarket, reFlect, reRep, reTwin, reTrain and reMind) are governed exclusively by the separate written agreements we enter into with our customers. If there is a conflict between these Terms and such an agreement, the agreement prevails.

3. Information on the Website

The content on the Website is provided for general information purposes about reprai and its offerings. In particular:

• No medical, regulatory or legal advice. Nothing on the Website is medical, clinical, regulatory, legal or professional advice, and it must not be relied on as such.
• No offer. Product descriptions, examples, figures and case studies are illustrative. They do not constitute a binding offer or a guarantee of specific results. Product features and availability may change.

• use bots, scrapers, crawlers or other automated means to access, copy or extract content from the Website, other than standard search engine indexing, or use Website content to train artificial intelligence or machine learning models, without our prior written permission;
• send unsolicited advertising or spam through the Website's forms; or
• copy, modify, distribute or commercially exploit Website content except as permitted in Section 5.

The Website and all its content, including text, graphics, logos, product names (such as reprai, reMarket, reFlect, reRep, reTwin, reTrain and reMind), images, videos, design and software, are owned by reprai or its licensors and are protected by intellectual property laws.

You may view, download and print pages from the Website for your own internal, non-commercial reference, provided you do not remove any copyright or other notices. Any other use requires our prior written permission. Nothing in these Terms gives you any right to use our trademarks or logos.

6. Information you send us

When you submit information through the Website (for example a meeting request, a message, an event registration or a job application), you confirm that it is accurate and that you have the right to share it. We handle personal data as described in our Privacy Policy.

If you send us feedback or suggestions about reprai, we may use them freely and without any obligation to you.

The Website may contain links to third-party websites or services, such as LinkedIn or event partners. We do not control and are not responsible for their content, policies or practices. Accessing them is at your own risk and subject to their terms.

To the maximum extent permitted by law:

• reprai, its affiliates and their directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of, or inability to use, the Website; and
• our total liability for any claim arising out of or related to the Website or these Terms will not exceed USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for fraud, gross negligence or willful misconduct.

11. Indemnity

You agree to indemnify and hold harmless reprai and its affiliates, directors, employees and agents from any claims, losses, liabilities and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Website.

12. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date and takes effect when posted. Your continued use of the Website after that date means you accept the updated Terms.

13. Governing law and disputes

These Terms and any dispute arising out of or related to them or to the Website are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any such dispute, and you consent to their jurisdiction. This does not deprive you of any mandatory protection you may have under the laws of the country where you live.

14. General

• Severability. If any part of these Terms is found invalid or unenforceable, the rest remains in full effect.
• No waiver. If we do not enforce any right under these Terms, this does not mean we waive it.
• Assignment. We may transfer our rights and obligations under these Terms, for example in connection with a merger or acquisition. You may not transfer yours without our written consent.
• Entire agreement. These Terms, together with our Privacy Policy and Cookie Notice, are the entire agreement between you and reprai regarding the Website.
• Export and sanctions. You confirm that you are not located in, or acting on behalf of, a country or person subject to U.S. sanctions or export restrictions.
